Decentral Inc. (“Decentral”) is the creator of a software application known as “Jaxx Wallet” or “Jaxx Liberty”, referred to as “Jaxx” in this agreement. This agreement serves as a contract between Decentral and the user (“You” or “Your”) of Jaxx Wallet. By agreeing to this contract, You are granted permission to utilize Jaxx for personal use, while adhering to specific rights, responsibilities, and obligations.
You are in charge of Your Wallet Jaxx Wallet is a software application that supports multiple blockchains, enabling You to create and manage various “wallets” derived from a “Backup Phrase” (a 12-word seed) provided by You or generated through Jaxx. It is crucial to safeguard Your Backup Phrase, as it is used to derive the private keys controlling the “digital assets” (e.g. Bitcoin, Ether, Litecoin) used with Jaxx.
Jaxx Wallet operates differently from traditional software programs, as it does not have accounts or passwords. This is due to its unique security features. It is important to understand how Jaxx (and other blockchain wallet software) functions before engaging in significant transactions. Decentral offers educational resources at https://jaxxwallet.org to assist You in this regard.
By using Jaxx Wallet, You assume control of Your digital assets. Decentral lacks the technical capability to access Your digital wallets and does not take ownership of Your digital assets, such as bitcoins or ERC-20 tokens.
Your Duties
Jaxx is created to empower its users, which implies that you are required to fulfill certain obligations, such as:
- 1. Safeguarding your Backup Phrase (as Decentral cannot "recover" it and never has access to it); and,
- 2. being cautious not to overwrite or delete Jaxx without first backing up Your Backup Phrase; and,
- 3. ensuring that the devices you utilize Jaxx on are free from viruses, malware, etc; and,
- 4. adhering to your local laws; and,
- 5. complying with the laws of Canada, where Decentral is headquartered; and,
- 6. utilizing Jaxx in a lawful manner; and,
- 7. verifying that all of your transactions are conducted with accurate blockchain addresses; and,
- 8. maintaining the confidentiality of Your Backup Phrase and refraining from sharing it with anyone, including Jaxx customer support (who will never request Your Backup Phrase).
Your Privacy is of Great Importance
Jaxx is designed to safeguard your privacy during interactions with blockchains. Your Backup Phrase and private keys are never disclosed to Decentral, however, certain data from Jaxx is transmitted to Decentral, such as telemetry data and logs that may contain error codes or descriptions, utilized to enhance the application experience and resolve technical issues. Decentral will never distribute or trade your personal information to advertisers, and takes measures to limit logging and access to telemetry data within Decentral.
In order to maximize the benefits of Jaxx, permission to access the camera on your mobile device may be sought. Camera device permissions are solely utilized for recognizing “QR codes” commonly used to encode blockchain information into a machine-readable format. Images from your camera will never be sent to Decentral, but the data within the QR Codes may be utilized in transactions you undertake, which may be relayed to Decentral as part of broadcasting your blockchain transactions.
Blockchains Pose Risks
Digital assets come with a range of risks. When using Jaxx, Decentral has no control over the blockchains you interact with. They cannot cancel, modify, or influence any transactions you initiate on any blockchain network. It is important for you to thoroughly understand the intricacies of the blockchains you choose to engage with, as Decentral holds no responsibility or liability for these risks.
License Agreement
Jaxx is licensed to you personally, on a non-exclusive, non-transferable, non-assignable, royalty-free, worldwide basis. However, it is important to note that Jaxx includes various open-source software libraries that have separate licenses. These third-party open-source software bundled with Jaxx are not covered by the license agreement mentioned here.
No Warranty
Jaxx is provided to you free of charge and "as is." Decentral does not guarantee that its software will always be safe, secure, or error-free. It also does not guarantee uninterrupted or flawless functionality. To the extent permitted by law, Decentral explicitly disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Termination or Suspension of Service for Unlawful Conduct
While Jaxx is an installable software, it relies on backend infrastructure managed by Decentral and potentially other parties. Decentral reserves the right to temporarily or permanently turn off this infrastructure without notice if there is suspected unlawful conduct or if it is deemed necessary at their discretion.
Availability of Jaxx Service
Certain aspects or the entire Jaxx service may not be accessible in all locations worldwide due to geoblocking or other measures implemented by Decentral. These measures are in place to ensure compliance with laws and enhance service quality for users.
Jaxx offers a feature called "JAXX" which allows users to access certain optional features. By registering for JAXX, you may share personal information with Decentral, which will be kept confidential as permitted by law. Additional rules and responsibilities may apply to your myJAXX account, and you may receive email notifications about changes to JAXX or opportunities to use myJAXX features.
Jaxx also provides functionality that involves third-party services owned by companies or organizations not affiliated with Decentral. These services may have their own terms and conditions, including registrations on external websites or applications not controlled by Decentral. Decentral is not responsible for any issues that may arise from your use of third-party services in connection with Jaxx.
If you use third-party services for digital asset or financial transfers, there is a risk of loss due to malfunctions or other issues. You agree to indemnify Decentral, its officers, contractors, employees, and other personnel against any claims related to third-party services resulting from your use or misuse of such services.
Jaxx is provided to you free of charge, and Decentral's liability is limited to ensure its continued availability in a competitive market. Regardless of any other terms in the agreement, Decentral's liability to you, under any legal theory, is limited to 0.01 bitcoins or $50 Canadian Dollars, whichever is greater. Decentral shall not be liable for any damages beyond this limit.
User Support
Decentral provides free technical assistance to Jaxx users. However, please note that this support is provided without any warranty and is solely at your own risk. Decentral reserves the right to discontinue offering free technical support or providing you with technical assistance at any time. It is important that you always treat Decentral's staff with respect and take precautions to avoid accidentally revealing your Backup Phrase, private keys, or any other confidential information.
Amendment
Decentral has the right to modify this agreement by giving you a 15-day notice. If you do not agree to the proposed amendment, your only option is to stop using Jaxx. You are not authorized to make any changes to this agreement.
Choice of Forum and Governing Law
Any disputes arising from this agreement will be resolved in the courts of the City of Toronto, Ontario, Canada, and the laws of Ontario, Canada will govern.
Entire Agreement
This agreement represents the complete understanding between the parties involved and supersedes any other agreements or representations. The parties have entered into this agreement without relying on any statements or warranties made outside of this agreement.
